Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Keldo, Inc. ("Keldo," "we," "us") governing your access to and use of keldo.ai and our portfolio-analysis service (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Data Policy. If you don't agree, don't use the Service.

1. What the Service is — and is not

Keldo analyzes the brokerage and retirement statements you upload and produces an informational report: an overview of your holdings, concentration, geography, industry and style exposures, fees, potential tax-loss-harvesting candidates, and an illustrative lower-cost model portfolio with an example transition plan.

The Service is for general informational and educational purposes only. It is not, and must not be relied on as, investment advice, financial planning, tax advice, legal advice, or a recommendation to buy, sell, or hold any security. Keldo is not a registered investment adviser, broker-dealer, or tax professional, and using the Service does not create an advisory, fiduciary, brokerage, or professional-client relationship. Outputs are generated by automated models and may contain errors, omissions, or outdated data. You are solely responsible for your investment decisions and should consult a licensed professional before acting.

2. Eligibility & accounts

• You must be at least 18 years old and able to form a binding contract.
• You agree to provide accurate account information and to keep your login credentials confidential. You are responsible for activity under your account.
• Notify us promptly at info@keldo.ai if you suspect unauthorized use of your account.

3. Your uploads & content

You retain ownership of the statements and data you upload. You grant Keldo a limited license to process that content solely to provide the Service to you, as described in our Data Policy (which explains redaction, deletion of originals, and deletion of the redacted copy once your report is generated). You represent that you have the right to upload the content and that doing so does not violate any law or third-party right.

4. Acceptable use

You agree not to:

• Upload content you are not authorized to share, or another person's statements without their permission;
• Attempt to abuse, overload, reverse-engineer, scrape, or circumvent the Service, its rate limits, or its security;
• Use the Service to break the law, infringe rights, or resell or redistribute the outputs as your own advisory product;
• Interfere with other users' access or the integrity of the Service.

5. Payment & refunds

• Each analysis is a one-time charge shown to you before purchase, processed by our payment provider, Stripe. We never receive or store your full card number.
• Refunds are available on request, no questions asked. If you're not satisfied with your report for any reason, contact info@keldo.ai and we'll refund that purchase.
• If the Service fails to produce your report due to a fault on our side, contact info@keldo.ai and we'll re-run it or refund that purchase.
• Prices and promotional codes may change; the price shown at checkout is the price that applies to that purchase.

6. Intellectual property

The Service, including its software, design, and report format (but excluding your uploaded data), is owned by Keldo and protected by law. We grant you a personal, non-exclusive, non-transferable license to use the Service and to use the report we generate for your own personal, non-commercial purposes.

7. Third-party services

The Service relies on third parties such as Stripe (payments), Cloudflare (hosting and storage), and others described in our Data Policy. Your use of those services may be subject to their own terms, and we are not responsible for third-party services.

8. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Keldo does not warrant that the service will be uninterrupted, error-free, or that any output is accurate, complete, current, or suitable for your circumstances. Market data may be delayed or incorrect, and past performance does not indicate future results.

9. Limitation of liability

To the maximum extent permitted by law, Keldo and its officers, employees, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, investment losses, data, or goodwill, arising out of or relating to the service or these terms, even if advised of the possibility. Keldo's total liability for any claim relating to the service will not exceed the amount you paid Keldo for the analysis giving rise to the claim.

10. Indemnification

You agree to indemnify and hold Keldo harmless from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your content, or your violation of these Terms or any law.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination (including Sections 6, 8, 9, 10, and 12) will survive.

12. Governing law & disputes

These Terms are governed by the laws of the State of [your state], without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in [your county/state], and you consent to their jurisdiction, except where applicable law provides otherwise. (Your attorney may recommend an arbitration and class-action-waiver clause here instead — leaving this as a placeholder for that decision.)

13. Changes to these Terms

We may update these Terms from time to time. We'll post the new version here with a revised "Last updated" date and, for material changes, notify you by email. Continued use after changes take effect means you accept the updated Terms.
